Terms and Conditions

1.1. Welcome to WiseGuy (hereinafter referred to as "the Platform", "we", "us", or "our"), a product price comparison, deal discovery, and shopping intelligence service operated by WiseGuy (Pty) Ltd, a company registered in the Republic of South Africa.

1.2. The Platform aggregates and displays publicly available product prices, specials, promotions, and product information from third-party South African retailers for comparison and informational purposes only. We do not sell products directly to consumers.

1.3. By accessing, browsing, or using this Platform in any manner, you ("the User") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, Cookie Policy, Compliance Statement, and any other policies referenced herein. If you do not agree, you must immediately cease using the Platform.

1.4. You must be at least 18 (eighteen) years of age to use this Platform. If you are under 18, you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

1.5. We reserve the right to amend, modify, or update these Terms at any time. Material changes will be communicated via a prominent notice on the Platform and/or via email to registered users. Your continued use of the Platform following any amendment constitutes acceptance of the revised Terms.

2.1. The Platform is an AI-powered product information aggregation and comparison tool. All pricing, promotional, stock availability, and product information displayed on the Platform is:

• collected from publicly accessible third-party sources at a specific point in time;
• indicative only and subject to change without notice by the respective retailers;
• not a contractual offer, quotation, or representation by us.

Important: We do not guarantee the accuracy, completeness, timeliness, reliability, or availability of any information displayed on the Platform. Always verify all information directly on the retailer's website before making any purchasing decision.

2.2. WiseGuy searches across 15+ South African retailers including, but not limited to, Takealot, Checkers, Pick n Pay, Woolworths, Makro, Game, Dis-Chem, and Spar. Retailer availability may change over time.

2.3. The Platform is not affiliated with, endorsed by, sponsored by, or an agent of any third-party retailer unless explicitly stated in writing.

2.4. We do not process transactions, handle payments to retailers, manage deliveries, or provide after-sales support. All purchases are conducted directly between the User and the respective retailer.

3.1. WiseGuy uses artificial intelligence and large language model (LLM) technology to power its search functionality. Search results, price comparisons, deal summaries, and recommendations are generated by automated AI systems and may not be perfectly accurate at all times.

3.2. In accordance with Sections 20 and 21 of the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"), we disclose that the Platform utilises automated electronic agents, including AI models, web crawlers, and automated data collection systems, to collect, process, aggregate, and display publicly available product and pricing information.

3.3. AI-generated content, summaries, comparisons, savings estimates, and deal ratings are for informational purposes only and should not be relied upon as financial advice or guarantees of savings.

3.4. By using the Platform, you acknowledge that information displayed has been processed by automated and AI systems, and that such processes may occasionally produce errors, outdated results, or inaccuracies.

4.1. WiseGuy offers tiered access to its services:

• Free Tier: Limited number of searches per day, subject to change without notice.
• Premium Subscription: Unlimited searches, access to advanced features including Telegram Bot search, price drop alerts, enhanced comparison tools, and priority search depth.

4.2. Subscription payments are processed securely via Stripe. By subscribing, you agree to Stripe's terms of service in addition to these Terms. We do not store full payment card details on our servers.

4.3. Subscription fees are charged on a recurring basis (monthly or as otherwise stated at checkout). You may cancel at any time through your Profile settings. Cancellation takes effect at the end of the current billing period, no refunds are issued for partial periods.

4.4. We reserve the right to modify subscription pricing with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing.

4.5. No Refund Policy: All subscription fees paid to WiseGuy are strictly non-refundable. This includes, but is not limited to:

• Partial-month or unused portions of a subscription period following cancellation;
• Subscriptions cancelled before the end of the billing cycle;
• Accounts suspended or terminated due to a breach of these Terms;
• Search credits or platform features consumed during the subscription period;
• Dissatisfaction with AI-generated search results or deal comparisons.

4.6. By subscribing, you expressly acknowledge and agree that you are not entitled to any refund under any circumstances, except where required by mandatory applicable South African consumer protection legislation that cannot be contractually excluded. If you believe you have a legitimate statutory refund claim, contact us at hello@wiseguy.co.za and we will assess your claim in good faith.

5.1. We are committed to ethical and responsible data collection practices:

• Publicly Available Information Only: We collect only pricing, promotional, and product information freely accessible on third-party websites.
• Respect for robots.txt: Our automated agents honour the Robots Exclusion Protocol directives published by third-party websites where reasonably applicable.
• Rate Limiting and Minimal Impact: Our systems implement rate limiting and request throttling to minimise impact on third-party infrastructure.
• Preference for Official APIs: Where a retailer provides an official API or data feed, we prefer and prioritise the use of such official channels.
• No Circumvention: We do not bypass any technological protection measures, security mechanisms, CAPTCHAs, or authentication systems.
• No Personal Data Scraping: Our automated agents do not collect personal information from third-party websites.

6.1. WiseGuy provides optional savings goal tracking and budget management tools for personal financial planning purposes only. These tools do not constitute financial advice.

6.2. Price drop alerts are triggered based on data available at the time of monitoring. We do not guarantee that all price drops will be detected or that alerts will be delivered in real time.

6.3. Savings estimates, discipline scores, and budget projections are calculated based on user-inputted data and automated calculations. These are for personal reference only and carry no financial guarantee.

6.4. Group savings goals involve multiple users sharing a goal. All group members acknowledge they are sharing their contribution data with other group members.

6.5. Price Alert Checks and Search Credits: Each automated price alert check performed by the Platform on your behalf consumes 1 (one) search credit from your account's daily or monthly search allowance, as applicable to your subscription tier. Users should be aware that enabling multiple simultaneous price alerts may result in significant search credit consumption during automated monitoring cycles. WiseGuy does not refund or restore search credits consumed by automated price alert checks.

7.1. WiseGuy offers a business registration and advertising platform allowing South African retailers and brands to list products, run ad campaigns, and reach deal-seeking consumers.

7.2. Business applicants must submit accurate, truthful information during registration. WiseGuy reserves the right to approve, reject, or suspend business accounts at its sole discretion.

7.3. Advertising campaigns are subject to separate advertising terms. WiseGuy does not guarantee specific ad performance, click-through rates, or sales outcomes.

7.4. All product listings, prices, and promotional claims submitted by businesses must be accurate and compliant with the Consumer Protection Act 68 of 2008 and applicable advertising standards.

7.5. WiseGuy reserves the right to remove any listing or advertisement that is inaccurate, misleading, illegal, or in violation of these Terms.

Affiliate Disclosure: WiseGuy participates in affiliate marketing programmes and may earn a commission when you click on certain links and subsequently make a purchase, at no additional cost to you.

8.1. WiseGuy operates a referral and affiliate programme whereby users may earn rewards for referring new users. Affiliate terms and reward structures are set out in the Affiliate Programme documentation.

8.2. Affiliate relationships do not influence the ranking, display order, or presentation of products or retailers on the Platform unless explicitly indicated as sponsored or promoted content.

8.3. We do not make unqualified claims regarding "best deals", "lowest prices", or "guaranteed savings". Any comparative statements are based on data available at the time of display.

9.1. WiseGuy offers a Telegram Bot integration as a Premium feature. By connecting your account to the Telegram Bot, you consent to receiving automated messages via Telegram.

9.2. Telegram and WhatsApp integrations are subject to the respective platform's terms of service. WiseGuy is not responsible for service interruptions caused by third-party messaging platforms.

9.3. To disconnect the Telegram Bot, users may do so through their Profile settings.

9.4. Messaging integrations process only your search queries and delivery preferences. We do not access your full messaging history or contacts on third-party platforms.

10.1. All trademarks, trade names, logos, and associated intellectual property displayed in connection with third-party retailers remain the exclusive property of their respective owners.

10.2. We provide attribution and direct hyperlinks to the original retailer's product page wherever practicable.

10.3. All original content, branding, code, design, and AI-generated summaries created by or for WiseGuy are owned by or licensed to WiseGuy (Pty) Ltd and are protected by the Copyright Act 98 of 1978.

10.4. Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes only.

11.1. The Platform and all information are provided on an "as is" and "as available" basis, without warranties of any kind, to the maximum extent permitted by South African law.

11.2. We expressly disclaim all liability for any loss or damage arising from incorrect or outdated pricing, expired promotions, out-of-stock items, delivery issues, inaccurate AI-generated results, or any purchasing decisions made in reliance on information displayed on the Platform.

11.3. Nothing in these Terms excludes our liability for death or personal injury caused by our negligence, fraud, gross negligence, or any other liability that cannot be excluded under the Consumer Protection Act 68 of 2008.

11.4. To the maximum extent permitted by law, our total aggregate liability shall not exceed R1,000 (one thousand South African Rand).

12.1. We are committed to protecting your personal information in accordance with the Protection of Personal Information Act 4 of 2013 ("POPIA").

12.2. Full details are set out in our Privacy Policy, which forms an integral part of these Terms.

12.3. In summary: we collect only information reasonably necessary to provide the service; we do not sell your personal information to third parties; you have the right to access, correct, or delete your personal information. Queries may be directed to hello@wiseguy.co.za.

13.1. Where the Platform permits Users to submit content (price corrections, reviews, ratings, feedback, savings goal images, or motivational messages), by submitting such content you grant us a non-exclusive, royalty-free, worldwide licence to use such content in connection with the operation of the Platform.

13.2. You represent and warrant that any content you submit is accurate, does not infringe any third-party rights, and complies with all applicable South African laws.

13.3. We reserve the right to monitor, edit, or remove any user-submitted content at our sole discretion without prior notice.

14.1. In using the Platform, you agree not to:

• scrape or use automated means to extract data from the Platform without prior written consent;
• reverse engineer or decompile any part of the Platform;
• overload or disrupt the Platform's servers or infrastructure;
• use information for commercial purposes without our prior written consent;
• misuse the AI search system to generate spam, fraudulent, or abusive queries;
• create fake business accounts, submit false product listings, or manipulate advertising metrics;
• use the Platform for any unlawful purpose or in violation of any applicable law;
• transmit any malware, viruses, or other harmful code;
• attempt to access another user's account or data without authorisation.

15.1. You agree to indemnify and hold harmless WiseGuy (Pty) Ltd, its directors, officers, employees, and affiliates from any claims, liabilities, costs, and expenses arising out of your use of the Platform, breach of these Terms, or violation of any applicable law.

16.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

16.2. Any dispute shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg, or the relevant Magistrate's Court.

17.1. The Platform is a comparison and information service and does not itself process electronic transactions for the sale of goods or services.

17.2. For all purchases made through third-party retailers discovered via the Platform, the cooling-off rights and return policies of the respective retailer apply.

18.1. Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.2. Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Compliance Statement, constitute the entire agreement between you and us regarding your use of the Platform.

18.3. Waiver: No failure or delay in exercising any right shall operate as a waiver of that right.

18.4. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

18.5. Force Majeure: We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including third-party AI service outages, retailer website changes, or infrastructure failures.
